Affiliate programme terms

The rules of the NegoTrack affiliate programme, written to be read rather than to be survived. They cover what commission is paid on, how long it lasts, how a referral is attributed to you, and the small number of things that will get you removed.

1. This is not employment

The NegoTrack affiliate programme, including NegoTrack Campus, NegoTrack Creators and NegoTrack Partners, is an independent commercial arrangement. Taking part does not make you an employee, worker, agent, partner or representative of NegoTrack, and nothing in these terms should be read as creating any of those relationships.

There are no hours, no minimum activity, no targets you are held to and no obligation to refer anybody. Equally, there is no salary, no wage, no holiday entitlement, no sick pay and no notice period. You decide entirely for yourself whether, when and how much you take part, and you may stop at any time without telling us.

You are responsible for your own equipment, your own time and your own working arrangements. You may promote anything else you like, including products that compete with NegoTrack.

2. Joining the programme

You join by submitting an application. Applications are reviewed by a person and are not accepted automatically. We may accept, decline or hold an application, and we are not obliged to give a reason, though we will normally give one.

You must be at least 18 years old, and you must be able to enter into a contract in your country of residence. The programme currently operates in the United Kingdom and Spain.

You must give accurate information when you apply and keep it accurate afterwards. An application containing false information may be declined, and an affiliate account based on one may be closed.

3. How referrals are attributed

Approved affiliates receive a unique referral code and link. When someone follows your link, a first-party cookie is stored in their browser recording your code and the time of the click.

Attribution lasts 60 days from the first click. If that person creates a NegoTrack account within that period, the account is attributed to you.

NegoTrack uses first-touch attribution: the first affiliate link a visitor follows is the one that counts. A later click on another affiliate’s link does not replace it while the original attribution is still within its window. This is stated plainly because it decides who gets paid.

Attribution depends on the visitor’s browser retaining the cookie. If they clear it, use a different device or browser, or block cookies, the referral cannot be attributed, and we cannot reconstruct it afterwards.

4. What commission is earned on

Under the founding affiliate terms, commission is 20% of the subscription amount actually paid, for the entire lifetime of each referred customer’s active paid subscription. Commission accrues month by month for as long as that subscription remains active. There is no cap, no expiry and no 12-month limit: if a customer you referred is still paying in year four, you are still earning on them.

Commission is earned only on active paid subscriptions. Free trials, unpaid periods, cancelled subscriptions, discounts applied to an invoice, and any period a customer is not actually charged for do not generate commission.

Refunded payments and chargebacks are not commissionable. Where commission has already accrued on a payment that is later refunded or charged back, that commission is reversed.

Commission is calculated on the amount paid excluding VAT, IVA or any equivalent sales tax, and excluding any amounts NegoTrack collects and passes on to a third party.

  • Eligible: every active, paid, non-refunded subscription month, for as long as the subscription lasts
  • Not eligible: trials, cancelled or lapsed subscriptions, refunds and chargebacks

5. No self-referrals

You may not earn commission on your own subscription, on a subscription for a business you own or control, or on a subscription bought by a member of your household. You also may not arrange for someone else to refer you in order to sidestep this.

Referring a business you work with is fine and is the point of the Partner programme. Referring a business that is, in substance, you is not.

6. How you may promote NegoTrack

The programme depends on people believing what affiliates say about NegoTrack, so the rules below are about honesty rather than control. Within them, how you promote NegoTrack is entirely up to you.

  • Disclose that you are an affiliate, clearly and near the recommendation itself, wherever you make one. In the United Kingdom this is required by consumer protection law and the CAP Code; in Spain by the Ley General de Publicidad and the influencer code of conduct.
  • Do not describe yourself as an employee, member of staff, spokesperson or official representative of NegoTrack, and do not speak, commit or sign on its behalf.
  • Do not make claims about NegoTrack that we have not made ourselves. In particular, do not promise a business a specific ranking, a specific result, a specific return or guaranteed income.
  • Do not promise anyone an income from joining the programme, and do not present example earnings as expected earnings.
  • Do not send unsolicited bulk email, direct messages or SMS, and do not post your link into communities that have not invited it. Respect anybody who asks not to be contacted again.
  • Do not bid on NegoTrack branded search terms, or close variants and misspellings of them, in paid search without our written permission.
  • Do not register domain names, social accounts, app listings or usernames containing the NegoTrack name or a confusable variant of it, and do not use our name, logo or brand in a way that suggests you are us.
  • Do not use cookie stuffing, forced clicks, hidden iframes, automated account creation, incentivised signups or any other means of generating referrals a person did not knowingly make.
  • Do not offer NegoTrack discounts, rebates or cashback that we have not published.

7. The programme can change

NegoTrack is pre-launch and the founding terms are exactly that: the terms the first affiliates join on. We may change the commission rate, the commission period, the eligibility rules or any other part of the programme.

A change applies to referrals made after it takes effect. It is not applied backwards: a customer you referred under the founding terms continues to be commissioned under the founding terms for the whole life of that customer’s subscription, even if the programme changes in the meantime.

We will give reasonable notice of a material change to the affiliates it affects, using the contact details on their application.

We may also end the programme. If we do, commission already accrued on eligible payments will still be paid under the process described below.

8. Suspension and removal

We may suspend or remove an affiliate who breaks these terms, whose referrals show signs of fraud or manipulation, or who promotes NegoTrack in a way that misleads businesses. Where the breach is a misunderstanding rather than an abuse, we will normally raise it before acting on it.

Commission on referrals we reasonably believe to be fraudulent will not be paid, and commission already paid on them may be reclaimed.

You may leave at any time. Commission already accrued on eligible payments before you leave remains payable.

9. Payment

The payment process, meaning how commission is paid, the minimum payout, the schedule and the details we need from you, will be communicated to approved affiliates before any commission becomes payable. It is not described here because it is not built yet, and describing it now would mean describing something that may change before anybody uses it.

You are responsible for any tax due on commission you earn, including income tax, self-assessment or IRPF obligations, and VAT or IVA where it applies to you. NegoTrack does not withhold or account for tax on your behalf and cannot give you tax advice. If you are a student, commission may still be taxable income, so check your own position.

10. Your information

What you submit in an application is stored so we can review it and contact you about it. It is not published, not sold, and not visible to anyone outside NegoTrack. The privacy notice explains what is stored, on what basis, and how to ask for a copy or its deletion.

If you are approved, we additionally record your referral code, the terms you were approved under, and the accounts attributed to you. Referred customers are recorded as an attribution only: an affiliate is not shown a referred business’s data, and a referred business is not shown who referred it.

11. General

These terms, together with the NegoTrack terms of use and privacy notice, cover the whole of the affiliate arrangement. If any part of them is found to be unenforceable, the rest continues to apply.

This document is a working version published before the programme opens and before qualified legal review. It states our actual intentions and we will apply it as written; where review later requires a change, affected affiliates will be told.
